BY USING THE DTCC SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE (“TERMS OF USE”), UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEIR TERMS AND CONDITIONS. The DTCC Site is owned and operated by The Depository Trust & Clearing Corporation and its affiliates (collectively “DTCC”). These Terms of Use contain the terms and conditions which govern your (also referred to herein as “User” or “you”) access and use of the DTCC Site and the content, including (without limitation) the products, services, publications, indices, data and information displayed on the DTCC Site (“Content”). DTCC RESERVES THE RIGHT TO CHANGE THESE TERMS OF USE UPON NOTICE, WHICH MAY BE GIVEN BY DTCC POSTING SUCH CHANGE (OR REVISED TERMS OF USE) ON THE DTCC SITE, BY E-MAIL, OR BY ANY OTHER REASONABLE MEANS USED TO COMMUNICATE WITH USERS OF THE DTCC SITE. YOUR CONTINUED USE OF THE DTCC SITE FOLLOWING NOTICE OF SUCH CHANGES WILL BE DEEMED YOUR ACCEPTANCE OF ANY CHANGES TO THESE TERMS OF USE.
Notwithstanding anything in the Terms of Use to the contrary, your rights to use certain material available on or through the DTCC Site may be subject to separate agreements with DTCC (“Separate Agreements”). In the event you have entered into a Separate Agreement to access all or any portion of the DTCC Site or its Content, including any separately entitled sections of the DTCC Site, then such Separate Agreement, rather than these Terms of Use, will govern in the event of a conflict.
Use of Content
These Terms of Use provide you with a personal, fully revocable, non-exclusive, non-transferable, limited license to use the DTCC Site and the Content, subject to your continued compliance with these Terms of Use. Except as otherwise expressly authorized in writing by DTCC, you may not license, sell, modify, adapt, copy, distribute, reproduce, publish, republish, redistribute, reverse engineer, broadcast, or retransmit the Content, frame any part of the Content, compile the Content into a database or information service, create any derivative of the Content for commercial distribution, use the Content to compete with the business of DTCC, or use any data included in the Content in the calculation of an index or as the basis of any financial instrument or investment product that is based on or seeks to match the performance of the values included in the data, and you may not authorize any other person to engage in any of these activities with respect to the Content. In addition, you may not use any automated device, computer program, tool, algorithm, bot or similar process to mine or systematically scrape or extract data from the DTCC Site or interfere in any way with the availability of or access to the DTCC Site. Any unauthorized use of the DTCC Site or the Content may violate copyright laws, trademark laws, contract law, the laws of privacy and publicity, and/or communications regulations and statutes. DTCC may discontinue or change any product, service, data, information or Content described in or offered on the DTCC Site at any time.
Public DTCC Reports
You agree that before accessing from the DTCC Site any Trade Information Warehouse or Global Trade Repository report (collectively, the “DTCC Reports”), you will read any explanatory materials that accompany such DTCC Reports. The DTCC Reports do not include certain important economic information that may relate to other derivatives activity, such as information on associated positions, on other derivatives activity (including further derivatives positions), and other counterparty or credit risk related positions, including associated collateral positions. As a result, it may not be possible to determine accurate credit and counterparty risk exposure information from the DTCC Reports. Certain content, information or materials included in a DTCC Report may be considered “non-traded” in nature, such as data related to industry compression or tear-up activity, or data on the clearing of existing transactions. In addition, content included in the DTCC Reports may be recorded in short form, where not supplied to DTCC as fully matched confirmation records. These short form records may omit necessary data items to identify them as relevant to a specific enquiry. Not all records have been submitted to DTCC as of their trade date, as certain transactions have been loaded in batches. You will not remove, change or obscure any copyright notice or other proprietary notice or terms of use contained in the DTCC Reports.
Disclaimers and Limitation of Liability
None of the Content on the DTCC Site shall be considered an offer or recommendation to buy or sell or a solicitation of an offer to buy or sell any security or instrument or to participate in any particular trading strategy. Further, none of the Content is intended to constitute investment advice or a recommendation to make (or refrain from making) any kind of investment decision and may not be relied on as such. Historical data and analysis should not be taken as an indication or guarantee of any future performance, analysis, forecast or prediction. The entire risk as to the accuracy, completeness and use of the Content of the DTCC Site is with you, as is the risk of viruses and other contamination. Indemnity
To the maximum extent permitted by law, you agree to indemnify DTCC and its directors, managers, employees, agents and consultants (the “Indemnified Parties”) in respect of, and hold each of them harmless from and against, any and all losses, liabilities, damages, fines, penalties, deficiencies, costs or expenses, including the reasonable fees and expenses of attorneys or other experts and professional advisers suffered, incurred or sustained by any of them, or to which any of them becomes subject, as a result of, any third party claim arising from or related to: (a) your use of the Content (including without limitation index values and related data); (b) your positions and/or transactions in respect of any products based on an index; or (c) your violation of these Terms of Use.
Trademarks
All names of DTCC and its products and services referenced on the DTCC Site, including DTCC, DTCC (Stylized), Advancing Financial Markets. Together, and the Interlocker Graphic are the registered or unregistered trademarks or service marks of The Depository Trust & Clearing Corporation or its affiliates. Names of other companies, products or services appearing in this publication are trademarks or service marks of their respective owners. Nothing in these Terms of Use grants you any right to use the trademarks, names or logos of DTCC. You may not represent, directly or indirectly, that any product, data or any service provided by you has been approved or endorsed by DTCC.
Linked Sites
The DTCC Site contains hyperlinks to third party websites which are the sole responsibility of such independent third parties and use thereof is solely at your own risk. DTCC has no control over such third-party websites, and DTCC is not responsible for (and under no circumstances shall be liable for) the contents, policies, accuracy or reliability of any websites hyperlinked to the DTCC Site.
AI Tools
The DTCC Site may contain artificial intelligence-enabled tools, including, without limitation, chatbots and virtual assistants (collectively, “AI Tools”). All responses or results generated by an AI Tool (“Output”) constitute “Content” for the purposes of these Terms of Use and are subject to all disclaimers, limitations of liability, use restrictions, indemnities and other provisions applicable to Content. Output does not create any fiduciary duty, advisory relationship or other obligation on the part of DTCC. The AI Tools are intended to provide users with general information and assistance regarding DTCC, the DTCC Site and services offered by DTCC. You may not use any AI tool for discriminatory, unethical or unlawful purposes or to make or support automated financial, risk or compliance decisions without appropriate human review and independent judgment. Output may be inaccurate, incomplete, misleading or otherwise unsuited for a particular purpose. As such, you are solely responsible for reviewing and verifying any Output and for all decisions or actions taken in reliance on it, including ensuring that such decisions or actions comply with applicable laws and regulations. You are solely responsible for any data or content that you submit to any AI Tool (“Prompts”). By submitting Prompts, you represent that you have all necessary rights and permissions to submit such Prompts and that use of such Prompts in connection with the AI Tool will not violate any third-party rights. You agree not to submit any confidential information or personal data to any AI Tool. You further agree not to attempt to modify or manipulate the AI Tools to bypass any built-in safeguards. All Prompts and Outputs may be accessed and reviewed by DTCC personnel for purposes of operating, securing and improving the AI Tools.
CUSIP Database & Proprietary Rights
To the extent that you have access to CUSIPs on the DTCC Site, you agree and acknowledge that the CUSIP Database and the information contained therein is and shall remain valuable intellectual property owned by, or licensed to, CUSIP Global Services ("CGS") and the American Bankers Association ("ABA"), and that no proprietary rights are being transferred to you in such materials or in any of the information contained therein. Claims, Jurisdiction and Choice of Law
Information published on the DTCC Site may contain references to products, programs and services that are not announced or available in your country or region. DTCC makes no representation that such information, products, programs or services referenced on this website are legal, available or appropriate in your country or region. These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law. DTCC and you each agree that the State and Federal courts located in New York, New York shall be the exclusive forums for any dispute arising out of these Terms of Use and each of DTCC and you hereby consent to the personal jurisdiction of such courts. DTCC and you each waive any right to a jury trial.
Severability
If any term or condition in these Terms of Use is found by a court, administrative agency or jurisdiction to be invalid or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant term shall be deemed deleted and the remaining terms and conditions hereof shall remain in full force and effect and shall be enforceable to the maximum extent permitted by law.

General
Specific Content, areas or pages of the DTCC Site may include or reference additional or different terms relating to the use of the DTCC Site or the rights or obligations of you or DTCC (“Specific Terms”). By accessing such Content, areas or pages, you agree to be bound by those Specific Terms. In the event of a conflict between such Specific Terms and these Terms of Use, such Specific Terms shall control for the applicable Content, areas or pages.
Except as otherwise set forth in a Separate Agreement, these Terms of Use, including any Specific Terms, represent the entire understanding relating to the use of the DTCC Site and the Content and prevail over any prior or contemporaneous, conflicting or additional communications. The failure of DTCC to exercise or enforce any right conferred upon it by these Terms of Use or any Specific Terms shall not be deemed to be a waiver of any such right or operate so as to bar the exercise or enforcement thereof at any time or times thereafter. No course of conduct between DTCC and you or any other party will be deemed to modify any provision of these Terms of Use.
DTCC reserves all legal rights and remedies, and these Terms of Use shall in no way be deemed a limitation or waiver of any other rights DTCC may have.
LEGAL AND REGULATORY COMPLIANCE
Regulation of DTCC ITP in the United States
Several DTCC Institutional Trade Processing services are subject to regulation by the U.S. Securities and Exchange Commission (“SEC”). DTCC ITP's TradeSuite ID and TradeMatch, which are U.S.—based electronic trade confirmation and central matching services, are subject to SEC regulation and is a service of DTCC ITP Matching (US) LLC. CTM, which is a central matching service, is subject to SEC regulation when the service is used for trades in which either the broker-dealer or its institutional customer is a U.S. entity and the securities in the trade are issued by a U.S. issuer and is a service of DTCC ITP Matching (US) LLC. The SEC regulation of DTCC ITP Matching (US) LLC is set out in an SEC order granting an exemption from registration as a clearing agency. The order is contained in SEC Release No. 34-44188; File No. 600-32; 66 FR 20494 (April 17, 2001).
Regulation of DTCC ITP Matching (Canada) Limited in Canada
DTCC ITP Matching (Canada) Limited has been granted status as a Matching Utility by the Ontario Securities Commission under NI24-101. DTCC ITP Matching (Canada) Limited has been authorized by the Ontario Securities Commission to offer its matching service, DTCC's CTM to its Canadian clients.
Regulation of DTCC ITP (UK) Limited in the United Kingdom
DTCC (UK) Limited has been authorised by the Financial Conduct Authority (FCA) to carry out regulated activities in the UK as a Service Company. DTCC's CTM and ALERT systems are regulated services in the UK.
SSAE 16 Audit of Control Environment
On an annual basis, DTCC engages an independent third-party auditor to examine and report on the suitability of the design and operating effectiveness of controls for the most widely used DTCC Institutional Trade Processing solutions. The auditor prepares a Service Organization Control (SOC) 1 Type 2 report in accordance with Statement on Standards for Attestation Engagements (SSAE) No. 16, which was published by the American Institute of Certified Public Accountants (AICPA) and supersedes the SAS 70 standard for performing an examination of controls and processes. The SOC 1 report addresses controls in various areas, including data accuracy, security and processing timeliness. The report also contains a description of the control environment, including systems and processes, as well as management's assertion about the design and operating effectiveness of this control environment. Scheduled Times of the DTCC Clearing Agencies
Scheduled times provided by DTC, FICC/GSD, FICC/MBSD and NSCC (each “the Corporation”) may be extended, IN THE CORPORATION’S SOLE DISCRETION, as APPROPRIATE to (i) address operational or other delays that would reasonably prevent members/participants or the Corporation from meeting the deadline or timeframe, as applicable, or (ii) allow the Corporation time to operationally exercise its rights under its rules. In addition, times applicable to the Corporation are standards and not deadlines; actual processing times may vary AS NECESSARY OR APPROPRIATE.

This statement sets forth the Depository Trust & Clearing Corporation (“DTCC”) privacy policies (“Privacy Policy”) and applies to DTCC and its subsidiaries (“we,” “us” and “our”) with respect to the use and disclosure of certain personal information we gather on our website (this “Site”) or in connection with the provision or potential provision of services. There may be additional terms provided when you procure certain services or additional information required in order for you to log into our portal to access our services. DTCC and its subsidiaries are listed in the “Businesses & Subsidiaries” page of this Site.
1. Information We Collect
We collect information in connection with the provision or potential provision of services, including, for example, transaction records, trade repository, clearance, settlement, custody and asset servicing, transaction processing services, or other services provided by our subsidiaries (collectively, the “DTCC Services” or “Services”). DTCC Services may be provided to customers, participants and members (collectively, “Customers”). DTCC Services are generally provided directly to businesses and the information we gather generally relates to these business customers. We collect, store, and use the following personal information related to Customers and prospective Customers, including business representatives, agents, employees, administrators, and users of our Services, for our business purposes:
- Identifiers, such as your real name, alias, login credentials, home or other physical address, email address, phone and fax number, username, password;
- Professional or employment-related information, such as employer name, job title, areas of business coverage, organization, department, and business contact information;
- Internet or other electronic activity information, such as browsing history, search history, and information about your interactions with the Site;
- Contact preferences;
- Other information voluntarily provided to us; and
- Inferences drawn from the categories of personal information described above.
Collection of such business contact information is required to enable us to provide Services to our Customers. Other information may be required to enable us to verify the identity or authority of Customer, or its representatives, agents, employees, administrators, and users or for “Know your customer” purposes, where applicable.
We collect personal information from the following sources:
- Directly from you. We collect personal information that you provide to us, for example, when you send us communications or fill out a web form on the Site.
- Automatically through the Site. When you visit the Site, we may collect certain information automatically through cookies, pixels, and other tracking technologies. The Site does not respond to “Do Not Track” signals sent by Internet browsers.
2. Additional Online Information Gathering
When visiting or using our websites or online services (collectively, “Websites”) we may collect certain information through automatic means, such as logging. This may include Internet or other electronic network activity information such as IP address, type of browser and operating system used, information regarding internet service provider or the type of device used to access our Websites, date and time of such access, navigation to and through our site, search terms, bookmarks, document downloads, how long a web page is visited, and other sites visited that link to or from our Websites and may be tied to an individual when logged into our systems.
We may also collect Internet or other electronic network activity information through the use of cookies, local shared objects (e.g., “Flash cookies”), clear gifs or “pixel tags,” device identifiers, or other identifiers or technologies, including as those technologies may evolve over time (collectively, “Data Technologies”). We may use Data Technologies to identify and track visits and use of our Websites, to customize experience on our Websites, to “remember” passwords, and for storing information or settings. This information allows us to evaluate our users’ use and navigation of the site on an aggregate basis, including the number and frequency of users to each webpage, and the length of each visit, to carry out our legal obligations, to protect our website and network from viruses or other threats, and to fulfill our regulatory requirements. We may use other third-party analytics tools that collect information about visitor traffic on our Websites. This information may be shared among DTCC and its subsidiaries, and their third party service providers.
Users of our Websites may be able to modify their browser’s settings to decline certain Data Technologies, such as cookies. If you disable Data Technologies, some features or functions of our Websites may not operate properly. If you set your browser to not accept cookies, you may still have access to public portions of the Sites. The acceptance of cookies is required for access to protected areas of the sites including access to DTCC’s products and services. For convenience, we may provide links to websites, apps, or online services that are not operated by us. We are not responsible for the privacy practices of any websites, apps, or online services that we do not provide or operate. 3. How We Use Information
We may use the personal information we gather for the following business purposes:
- to provide and support DTCC Services, including uses or disclosures that are usual or customary to carry out the DTCC Services for which the information was given, or a related transaction;
- to communicate with Customers or provide more relevant communications, for example, in response to requests, questions, comments, or other site activities (e.g., whitepaper downloads, event registration);
- to maintain and manage accounts;
- to operate, evaluate and improve our DTCC Services, Websites, and our business (including diagnosing technical and service problems; administering our Websites; identifying users of our Websites; developing new products and services; managing our communications; determining the effectiveness of our sales, marketing and advertising; analyzing and enhancing our products, services and Websites; and performing accounting, auditing, billing, reconciliation and collection activities);
- to perform data analyses (including market research, trend analysis, and financial analysis);
- to comply with law or for other legal purposes, including retaining information to comply with law or regulations or disclosing information to a court, regulator, or other third party in response to a valid request;
- to protect ourselves or others, including protecting against malicious, deceptive, fraudulent, or illegal activity; or protecting our rights and those of our Customers or investors and defending any claims made against us; and
- with your consent, to inform a prospective Customer and current Customers, or its representatives, agents, employees, administrators, and users about products, services, or opportunities that may be of interest to them.
We may also use the personal information we gather in other ways for which we provide specific notice at the time of collection. In addition, we may use your personal information with your consent or as approved by you from time to time.
4. How We Disclose Personal Information
Information we gather may be shared among DTCC and its subsidiaries and their service providers in order to support the purposes for which we may use information. We may entrust, delegate, and otherwise share information with the following third parties:
Corporate Affiliates: We may share information we gather with our Affiliates for their everyday business purposes, to provide services or to perform marketing.
Service Providers: We may share information with third party service providers who help us provide, develop and offer products and services. If you choose to use a particular feature within some of our products, you may be presented with a link directing you to a third-party provider which may have privacy policies or notices that differ from ours. Other service providers process data at our direction and in accordance with this policy.
Regulators: We may share information and records we maintain with financial or other regulators and in response to requests by courts or government authorities, such as law enforcement agencies and officials.
Law enforcement, government agencies, courts, or other third parties: We may share information to protect ourselves, our employees, or others, to investigate fraud, or as required by law, such as to comply with a subpoena or similar legal process.
Third Parties in Connection with a Sale or Merger: We may share information we have gathered in connection with the sale or merger of our business, affiliates, or the transfer of assets.
Any Other Third Party with your Prior Consent.
This Privacy Policy does not apply to anonymized or aggregated data which by itself does not allow an individual to be located or contacted. We may use and share such anonymized or aggregated data with third parties.
5. Information Safeguarding
We maintain an information security program setting forth standards for maintaining administrative, technical and physical safeguards to protect the personal information provided by our Customers against accidental, unlawful or unauthorized destruction, loss, alteration, access, disclosure or use.
6. Data Transfers
We may transfer the information we collect to countries other than the country in which the information originally was collected (“Originating Country”). Personal information may be stored in the United States, and in other countries with different data protection standards than the Originating Country. When we transfer your information to other countries, we will protect that information as described in this Privacy Policy, through adherence to our intra-company or other contractual agreements, and/or in accordance with applicable law. 7. Data Retention
The personal data you submit to us will only be retained for as long as is required for the purposes for which it was collected. Contact information about individuals such as mailing list information is kept until a user unsubscribes to a publication or requests that we delete that information.
8. Individual’s Rights
Customers have the right to request details of the information that DTCC holds about them such as their email address, contact information, or other personal information. Any requests for access to correct, rectify, or erase any inaccurate information gathered by DTCC or its subsidiaries can be directed to privacyoffice@dtcc.com.
9. Updates to Our Privacy Policy
This Privacy Policy may be updated periodically and, where permitted by law, without prior notice to reflect changes in our information practices. We will indicate at the top of the notice when it was most recently updated.
10. Your California Privacy Rights
If you are a resident of California, the California Consumer Privacy Act of 2018 (“CCPA”) grants certain rights to residents of California to access or delete the personal information that we have collected about you. We do not sell or share the personal information we collect to third parties. Once we receive your request and confirm your identity, we will disclose to you the information we have collected about you, as required by the CCPA. If you are a California resident, you may have the following rights with respect to your personal information, subject to applicable exceptions:
- Right to access. You may be entitled to request that we disclose to you the specific pieces of your personal information that we have collected about you in a portable and, to the extent technically feasible, readily usable format.
